Partner with Us and Earn Commissions Agreement

This agreement is a legally binding contract. Please read it carefully before signing it, so that you understand your rights and responsibilities.

Overview: 

This Affiliate Program Agreement describes the terms and restrictions that apply to your participation in our program as an affiliate marketer (Partner). You agree to strictly abide by the terms and conditions outlined below by signing up for our affiliate program. Please take your time reading this Agreement.

This Affiliate Program Agreement (also referred to as the “Agreement,” “Affiliate Agreement,” “Terms and Conditions,” or “Affiliate Terms and Conditions”) is made between ARZ Host International Ltd, a Cyprus private limited company (“ARZ Host”) and the Partner (also referred to as “You,” “Affiliate Partner,” or “Affiliate”) and is effective as of the date of electronic acceptance. 

The terms and conditions of your usage of the Affiliate Program (the “Affiliate Program” or the “Services”) are outlined in this Agreement. You recognize and agree to be bound by this Agreement and ARZ Host’s Universal Terms of Service Agreement, which are both incorporated herein by reference, by your electronic acceptance of this Agreement.

ARZ Host is referred to using the pronouns “we,” “us,” and “our”. Any person or organization that accepts this Agreement is referred to as “you,” “your,” “User,” “customer,” or “Affiliate.” Nothing in this Agreement should be interpreted as granting any rights or advantages to third parties. 

Any changes or modifications to this Agreement and any rules or agreements contained herein may be made at any time by ARZ Host in its sole discretion, and such changes or modifications shall take effect as soon as they are posted on the ARZ Host website (this “Site”).

You agree and acknowledge that:

1. ARZ Host may inform you of such changes or modifications by posting them to this site. 
2. Your use of this site or the services available through it following the posting of such changes or modifications (as indicated by the “Last Revised” date at the top of this page) shall constitute your acceptance of this Agreement as last revised. 
3. Do not use (or do not continue to use) this site or the services offered on it if you do not agree to be bound by this agreement as most recently revised.

Additionally, ARZ Host occasionally may send you an email notifying you of changes or updates to this Agreement. Because of this, it’s essential that you keep your account’s (“Account”) information up to date, especially your email address. If you don’t receive an email notification because your email address is incorrect or outdated, ARZ Host is not responsible or liable for it.

Involvement with the Affiliate Program

You must fill out the affiliate signup form on the ARZ Host website (the Website) in order to apply to the Affiliate Program. We carefully consider each affiliate application before determining whether to accept it. Your application may be denied for any reason if we decide it is not appropriate for the Affiliate Program.

RESPONSIBILITIES OF YOURS

As a ARZ Host Affiliate, you agree to the following:

• You are fully responsible for providing us with accurate account information, as well as for keeping it current. Contact information, payment information, tax information, any website URLs where ARZ Host is promoted, traffic sources, promotional tactics, and any other information we may seek are examples of this information, but it’s not limited to that. 
• ARZ Host maintains the right to inquire about any other details on any website where ARZ Host is advertised as well as any additional details regarding the strategies employed to advertise ARZ Host on those websites. You risk being excluded from the Affiliate Program, having your Affiliate account temporarily suspended or terminated, losing any Commissions, or both if you somehow fail to supply the requested data if the data is inaccurate.
• The Affiliate must recommend clients who are in good standing and behave in good faith. Clients in good standing are the owners of your recommended web hosting accounts who have given accurate contact information, have active accounts that don’t go over any restrictions outlined in the ARZ Host Terms of Service, and aren’t marked as having a high risk of fraud. The term “active account” refers to new users who have signed up through your referral and haven’t canceled their accounts in more than 45 (forty-five) days.
• You shouldn’t suggest any courses of action or take any steps that could potentially cause ARZ Host to lose money.
• Any marketing strategies that can draw clients who are not in good standing must be avoided.
• You must obtain ARZ Host’s prior written consent before changing, copying, or otherwise changing any banners, icons, graphics, or other content found in ARZ Host’s Links. This includes, but is not limited to, changing and modifying any copyright or trademark notices.
• You may not click on your affiliate links and/or banners and submit orders through your own affiliate link. You may not utilize self-referral techniques. No exceptions will be made; matching IP addresses that were used to sign in to the Affiliate panel and to complete the transaction will be regarded as self-referral. 
• Additionally, using a VPN service to buy something through the affiliate link will be viewed as a violation. Violations may lead to termination from the program and the loss of all accrued Rewards.
• In order to increase the number of referrals for ARZ Host, the Affiliate shouldn’t use any black hat SEO or spammy link-building tactics.
• You promise to follow all legal requirements.
• You must be devoted to ARZ Host, respect its trust, and avoid harming the company’s brand.
• Not to support, promote, or call for violence against or discrimination against any individual, group, or governmental body.

As a result of a Program Agreement breach, ARZ Host reserves the right to suspend and/or terminate your Affiliate account and cancel any owed Commission payments if it believes or notices a pattern of violations of the Affiliate Program Agreement.

If circumstances arise after the affiliate joins the affiliate program for which ARZ Host would not have entered into an affiliate agreement with the partner but for which ARZ Host had knowledge, ARZ Host reserves the right to immediately terminate the cooperation and/or withhold payment for the prior period.

AFFILIATE ADVERTISING

Only advertising materials that have been authorized by ARZ Host may be used on the Affiliate’s website to promote ARZ Host. The materials that are offered in your Affiliate Area are referred to as approved promotional materials. 

You may display ARZ Host trademarks, service marks, logos, and slogans on your affiliate website if the promotional materials are approved. By agreeing to this agreement, you are given a non-exclusive, convertible, limited permission to access, download, and use the permitted promotional content on your website for the express purpose of promoting websites run by ARZ Host.

Your non-exclusive, restricted, and non-transferable right to access, download, and use the ARZ Host-approved promotional materials will be automatically and immediately revoked upon the termination of the Affiliate Agreement, which may be decided upon by either party.

These are only a few examples of inappropriate advertising methods:

• The use of any unethical and/or spam advertising techniques, including unsolicited email, unlawful posting of the link in message boards, forums, or newsgroups;
• Utilizing pay-per-click or pay-per-impression campaigns as an advertising method, and bidding on terms that contain the “ARZ Host” trademark, as well as misspellings or variations of the term, on search engines like Google, Yahoo, MSN, Ask, Bing, or others, without first receiving our consent. You are not permitted to direct-link to or reroute to the ARZ Host Website(s) or use the ARZ Host Website(s) as the display URL in paid media advertisements;
• Using non-original copyright-infringing content to advertise ARZ Host;
• Utilizing visitors produced by pay-per-read, pay-per-click, banner exchanges, click exchanges, PPV advertising, pop-up/under, or comparable techniques;
• Without our prior approval, offering paybacks, rewards, or any other form of inducement to secure the sale;
• Offering price-saving strategies, such as coupons, vouchers, discount codes, or added-value deals, without first obtaining our consent;
• Using our trademark, name, or advertising and promotional materials in a manner that harms our reputation;
• utilizing iframes or any other methods or tools that set your affiliate tracking cookie through a mechanism other than a genuine click-through;
• using link cloaking, link masking, or similar methods to promote ARZ Host on sites and/or networks that aren’t specifically included in your affiliate profile while also concealing the traffic source;
• Your website(s) cannot include anything that is deemed undesirable, including lewd, obscene, criminal, pornographic, or other types of content. This covers any content of an adult nature, as well as bigotry, hatred, pornography, satanic materials, trademark and copyright materials, etc. We reserve the right to declare any items as such based on our reasonable judgment;
• Without our prior approval, you may NOT use the “ARZ Host” trademark or any other variants or misspellings that are confusingly similar to the ARZ Host brand, name, logo, or domain name in your domain name(s), company name(s), logo, trademark, product(s), project(s), or service(s);
• You must not use keywords and phrases that contain or are confusingly similar to third-party trademarks, names, logos, or domain names in your domain name(s), company name(s), logo(s), trademark, product(s), project(s), or service(s) unless you have received the necessary authorization from the trademark owner.

If a promotional strategy you employ is appropriate, ARZ Host shall have the exclusive discretion to make that determination. If you employ any form of advertising that we deem inappropriate, your affiliate account may be warned, suspended, or terminated, and all pending commission payments may be canceled. 

A lifetime exclusion from the Affiliate Program shall be imposed without exception for any disrespectful, combative, or otherwise offensive communications with the dedicated affiliate manager.

AGENCY TRACKING COOKIES

Using cookies, we automatically track affiliate sales. When a user clicks on an affiliate link to access our website, cookies are automatically installed in their browser. Each cookie is kept for a maximum of 30 days. The new cookie will replace every previous affiliate cookie that may have previously been stored in the browser of the same user. ARZ Host disclaims any liability in the event that users purposefully erase cookies.

AFFILIATE COMMISSIONS

You will receive 20% (twenty percent) Commission if the sale is for ARZ Host Shared hosting (Single/Premium/Business), Cloud hosting (Startup, Professional, Global), or VPS 1/2/3/4/5/6 plans. For the clients’ purchased one-month hosting plans, no commission will be given. 

We reserve the right to modify the composition of the Commission and its methodology at any moment. Other Commission plans are not provided by default, however after reviewing the Partnership, you can talk with your Account Manager about them.

If you don’t agree with the Commission due as reported, you must notify EMAIL in writing within 30 (thirty) days of the balance due date or the date of the force majeure occurrence, stating your disagreement and any relevant remarks. Emails that are not sent within the allotted time period are regarded to have been irrevocably acknowledged.

The commission for such a purchase will not be credited if the customer requests a refund or cancellation of the purchase during the 45-day window. Whether the fraud was committed by the customer or you, we reserve the right to examine all transactions for potential fraud. 

We reserve the right to withhold payment of any balance owed to you for up to 180 (one hundred eighty) days while We review Commissions for potential fraud or any other concerns arising from illegal activity. During this time, we will look into the matter and ensure that the relevant transactions adhere to the terms of the Agreement, laws, and regulations.

INVOICING

At the beginning of each new month, we will send you the commission statement that is due in your affiliate area. Till the end of the preceding month, payout requests for the prior payment period should be sent via the designated email. For instance, by the end of August 2021, the request for July 2021 should be sent. 

The 20th of the current month will mark the distribution of payouts. If the request is made after the previous month’s end, the payout will be included in the following round of payments. To seek a payout, you need to have at least 3 authorized conversions. Paypal requires a minimum payout of $100 to process a withdrawal. $500 is the minimum payout amount for wire transfers.

Please be aware that payments made via wire transfer often take 3-5 working days to fulfill. As a result, commission payments may be made after the 20th of the month.

RELATIONSHIP BETWEEN THE PARTIES

The Affiliate and ARZ Host acknowledge that this Affiliate Agreement does not establish a partnership, agency, company, joint venture, sales representative, or employment relationship between them and that they are each entering into it as independent contractors.

You lack the authority to speak for ARZ Host and accept or make any promises or offers. You are not permitted to make any claims that conflict with anything in this section on your website or in any other way.

TERMINATION OF ACCOUNT

You can always close your affiliate account by getting in touch with us through the Affiliate Area. You will receive a confirmation from ARZ Host that your account has been closed as requested.

A hosting provider may close an affiliate account:

• Without giving any justification and with seven days’ notice.
• If your affiliate account or you break the terms and conditions of the affiliate program, it will be terminated immediately and without prior warning.

When an affiliate account is closed, we stop tracking the sales it generated, and you are no longer eligible to receive commissions in the future. In addition, if an account has not seen any new conversions in the previous six months and is parked as dormant, the Partner will be deemed an inactive Affiliate. 

If there are any unpaid commissions at the time of termination, they will be paid to the affiliate following any necessary holding period and according to the regular distribution cycle.

If your account is terminated because of a breach of these terms and conditions, no unpaid commissions will be owed; instead, the affiliate will be obligated to pay a fine of US$125 (or the equivalent amount in the currency specified in your affiliate area).

After the Affiliate account is closed, the Affiliate must take down all marketing materials, links, logos, trademarks, and slogans of ARZ Host from his website within three business days.

The Affiliate Agreement’s termination does not affect this sentence. After this Affiliate Agreement expires, the Affiliate will no longer be permitted to use any of ARZ Host’s trademarks, logos, or catchphrases. In addition, the Affiliate will refrain from taking any actions that could negatively or indirectly impact ARZ Host’s reputation, image, and business relationships with both current and potential clients.

This Affiliate Agreement expires right away if the Affiliate account is closed.

PRIVACY INFORMATION

Each party recognizes that it might have access to specific Confidential Information of the other party as a result of this Affiliate Agreement. “Confidential Information” refers to all documentation and information, including methods, algorithms, and processes as well as technical, business, and marketing data, that has been labeled or designated as “proprietary” or “confidential” or the like by the party disclosing it (the “Disclosing Party”) or that the other party (the “Receiving Party”) knows to be confidential or should reasonably consider being confidential.

Each Receiving Party undertakes that during the Term and for a period of five (5) years following, 

1. must treat the exposing party’s confidential information with the same level of care and protection (but not less than reasonable) as its own confidential information of a comparable nature; 
2. not to directly, indirectly, or otherwise make any Confidential Information of the Disclosing Party available to a third party; 
3. not to duplicate or make use of the disclosing party’s confidential information for any other reason besides that which is required for the receiving party to carry out its obligations or exercise its rights under this affiliate agreement.

Only employees and affiliates of each party who have a need to know in order to carry out their obligations under this agreement will be given access to the other party’s confidential information. 

Additionally, the Receiving Party may disclose Confidential Information of the Disclosing Party to the extent that such disclosure is authorized in writing by the Disclosing Party or is required by law or by an order of a court or other similar judicial or administrative body, provided that (to the extent permitted by law) the Receiving Party notifies the Disclosing Party of such required disclosure promptly and in writing and cooperates with the Disclosing Party.

Confidential Information will not be subject to the obligations of this Section if it: 

1. Is publicly available at the time of disclosure, or later becomes publicly available without any action on the part of the Receiving Party; or 
2. Was rightfully known to the Receiving Party prior to disclosure hereunder (other than in connection with this Affiliate Agreement) without confidentiality restriction.

RULE OF LAW

Any problem, claim, or dispute arising out of or related to this Affiliate Agreement shall be resolved in accordance with the laws of the country in which the ARZ Host corporation responsible for your Affiliate account is based.

TERMS OF THE AFFILIATE PROGRAM CHANGES

Any policies or conditions of this Affiliate Agreement are subject to change at any moment by us. Upon being uploaded on the ARZ Host website, the Agreement’s supplements and/or changes take effect right away. 

On ARZ Host’s website, the most recent Terms and Conditions of the Affiliate Agreement are always accessible to everyone. You have 10 business days, starting from the date of the revisions and/or supplements, to cancel your account if you do not agree in any way with the changes made to the Affiliate Agreement.

This Affiliate Agreement may only be amended and/or supplemented by an authorized ARZ Host officer. No employee, contractor, or agent of ARZ Host has the power to modify or change this Affiliate Terms and Conditions Agreement in any way. The interpretation of this Affiliate Agreement will not be changed by any oral explanation or information provided by any party.
